1. Service Description
Muli is a SaaS (Software as a Service) platform that provides automated email communication services for businesses. The Service enables you to:
- Monitor Stripe subscription events (cancellations, failed payments, etc.)
- Automatically send personalized follow-up emails to customers
- Create and customize email templates
- Track email delivery and engagement
- Connect your Stripe account via Stripe Connect
- Manage win-back campaigns for churned customers
The Service is designed to help businesses retain customers and reduce churn through timely, automated communication.
2. Eligibility and Account Registration
2.1 Age Requirement
You must be at least 18 years old and have the legal capacity to enter into binding contracts to use the Service. By creating an account, you represent and warrant that you meet these requirements.
2.2 Account Creation
To access the Service, you must:
- Create an account by providing accurate and complete information
- Authenticate via Google OAuth or email verification
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
2.3 Business Use
The Service is intended for legitimate business purposes. You represent that you will use the Service in compliance with all applicable laws and regulations, including but not limited to:
- CAN-SPAM Act (United States)
- GDPR (European Union)
- CASL (Canada)
- Other anti-spam and data protection laws
2.4 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
We are not liable for losses caused by unauthorized use of your account.
3. Subscription Plans and Pricing

Pricing is subject to change with 30 days' notice to existing subscribers.
3.2 Payment Terms
- All subscriptions are billed monthly in advance through Stripe
- Payment must be made by credit card or other accepted payment methods
- You authorize us to charge your payment method for all fees incurred
- Subscriptions automatically renew unless canceled
3.3 Taxes
All fees are exclusive of applicable taxes, which will be added to your invoice where required by law.
4. Stripe Connect Integration
4.1 Connection Authorization
By connecting your Stripe account to Muli, you authorize us to:
- Access your Stripe account data via the Stripe API
- Monitor subscription events and customer information
- Read customer email addresses and subscription statuses
- Access webhook events for automated email triggers
4.2 Stripe Account Requirements
You must:
- Have a valid, active Stripe account in good standing
- Have proper authorization to connect the Stripe account
- Comply with Stripe's Terms of Service
- Ensure your use of customer data complies with applicable privacy laws
4.3 Data Access
We use read and write access to your Stripe account via Stripe Connect OAuth. This access is used exclusively to read subscription events and customer data needed to trigger automated emails. We do NOT:
- Process payments through your account
- Modify your Stripe products, plans, or settings
- Access your payout or banking information
- Share your Stripe credentials with third parties
4.4 Disconnection
You may disconnect your Stripe account at any time through your account settings. Disconnection will:
- Stop all automated email sending
- Revoke our access to your Stripe data
- Remove stored Stripe credentials from our systems
- Not affect your Muli subscription or payment obligations
5. Acceptable Use Policy
5.1 Permitted Use
You may use the Service only for:
- Legitimate business communications with your customers
- Transactional emails related to subscription events
- Win-back campaigns for churned customers
- Customer retention and engagement
5.2 Prohibited Activities
You must NOT use the Service to:
Email Content
- Send spam, unsolicited bulk email, or marketing to purchased lists
- Send emails containing illegal, harmful, or offensive content
- Send malware, viruses, or malicious links
- Impersonate others or misrepresent your identity
- Send fraudulent, deceptive, or misleading content
Technical Abuse
- Attempt to gain unauthorized access to the Service or systems
- Reverse engineer, decompile, or disassemble the Service
- Interfere with or disrupt the Service or servers
- Use automated scripts or bots without authorization
- Overload or stress-test our infrastructure
Legal Violations
- Violate any applicable laws or regulations
- Infringe intellectual property rights of others
- Violate privacy rights or data protection laws
- Engage in harassment, threats, or abuse
- Facilitate illegal activities
Data Misuse
- Send emails to recipients who have not opted in (unless transactional)
- Ignore unsubscribe requests
- Use email addresses obtained through scraping or unauthorized means
- Share or sell customer data
5.3 Compliance Requirements
You agree to:
- Include proper unsubscribe mechanisms in marketing emails
- Honor unsubscribe requests promptly
- Include your business contact information in emails
- Comply with CAN-SPAM, GDPR, CASL, and other applicable laws
- Obtain proper consent for email communications
5.4 Consequences of Violations
If you violate this Acceptable Use Policy, we may:
- Suspend or terminate your account immediately
- Delete offending content
- Report violations to law enforcement
- Pursue legal action
- Refuse to provide service in the future
6. Intellectual Property Rights
6.1 Our Ownership
All rights, title, and interest in the Service, including but not limited to source code, website design, trademarks, logos, documentation, and infrastructure remain the exclusive property of Muli or our licensors. These Terms do not grant you any ownership rights.
6.2 Your Content
You retain all rights to:
- Email templates you create
- Content you upload or generate
- Your customer data
By using the Service, you grant us a limited, non-exclusive license to store and process your content to provide the Service, display it back to you, and make backup copies for disaster recovery.
6.3 Feedback
If you provide feedback, suggestions, or ideas about the Service, we may use them without obligation or compensation to you.
7. Data Processing and Privacy
7.1 Privacy Policy
Your use of the Service is governed by our Privacy Policy. By using the Service, you acknowledge that you have read and understood the Privacy Policy.
7.2 Your Responsibilities as Data Controller
When using the Service to send emails to your customers, you are the data controller and we are the data processor. You are responsible for:
- Obtaining proper consent to email your customers
- Complying with GDPR and other data protection laws
- Providing privacy notices to your customers
- Handling data subject requests from your customers
- Ensuring you have a lawful basis for processing
7.3 Our Role as Data Processor
We process customer data (email addresses, names) on your behalf solely to provide the Service. We act only on your documented instructions, implement appropriate security measures, assist with data subject requests where possible, delete or return data upon termination, and do not use your customer data for our own purposes.
7.4 GDPR Compliance
Both parties agree to comply with GDPR requirements. You acknowledge that we may process data in the United States or other jurisdictions, with appropriate safeguards (SCCs) in place for international transfers.
8. Service Availability and Modifications
8.1 Service Level
We strive to maintain high availability but do not guarantee that the Service will be available at all times, error-free, compatible with all systems, or secure from unauthorized access.
8.2 Maintenance
We may perform scheduled or emergency maintenance that temporarily interrupts the Service. We will provide advance notice when reasonably possible.
8.3 Service Modifications
We reserve the right to:
- Modify, update, or discontinue features
- Change pricing with 30 days' notice to existing subscribers
- Impose usage limits or restrictions
- Update these Terms (see Section 13)
9. Termination
9.1 Termination by You
You may terminate your account at any time by:
- Canceling your subscription through your account settings
- Contacting our support team at support@muli.email
- Deleting your account through the settings page
Upon cancellation:
- Your subscription will remain active until the end of the current billing period
- No refunds will be provided for partial months
- You will lose access to the Service at the end of the billing period
9.2 Termination by Us
We may suspend or terminate your account immediately if:
- You violate these Terms
- You engage in fraudulent activity
- Your payment method fails repeatedly
- We are required to do so by law
- The Service is discontinued
9.3 Effect of Termination
Upon termination:
- Your access to the Service will be revoked
- Your account data may be deleted after 30 days
- You remain liable for any outstanding fees
- Sections 6, 10, 11, and 12 survive termination
9.4 Data Deletion
Upon account deletion, we will:
- Permanently delete your account data within 30 days
- Remove your personal information from our systems
- Retain only what is legally required (e.g., payment records for 7 years)
10. Disclaimers and Limitations of Liability
10.1 Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR RELIABILITY
- UNINTERRUPTED OR ERROR-FREE OPERATION
We do not warrant that:
- The Service will meet your requirements
- Emails will always be delivered successfully
- The Service is free from viruses or harmful components
- Results obtained from the Service will be accurate or reliable
10.2 Limitation of Liability
To the maximum extent permitted by law, Muli shall not be liable for indirect, incidental, consequential, or punitive damages, lost profits, revenue, data, or business opportunities.
Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
10.3 Exceptions
Some jurisdictions do not allow exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
10.4 Third-Party Services
We are not responsible for:
- Stripe's availability or operation
- Email delivery failures by Resend or email providers
- Third-party website or service issues
- Actions or omissions of third-party processors
11. Indemnification
You agree to indemnify, defend, and hold harmless Muli, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use or misuse of the Service
- Your violation of these Terms
- Your violation of applicable laws or regulations
- Your violation of third-party rights
- Content you submit or send through the Service
- Your email communications with customers
12. Dispute Resolution
12.1 Governing Law
These Terms are governed by and construed in accordance with the laws of The Netherlands, without regard to conflict of law principles.
12.2 Jurisdiction
Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of The Netherlands.
12.3 Informal Resolution
Before filing a legal claim, you agree to contact us at support@muli.email to attempt to resolve the dispute informally.
13. Updates to These Terms
13.1 Modifications
We may update these Terms from time to time to reflect:
- Changes in the Service or features
- Legal or regulatory requirements
- Business practices or policies
13.2 Notice
When we make material changes:
- We will update the "Last Updated" date at the top
- We will notify you via email (to the address associated with your account)
- We may display a prominent notice in the Service
13.3 Acceptance
Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and cancel your account.
14. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Muli regarding the Service.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
Assignment
You may not assign or transfer these Terms without our written consent. We may assign these Terms to any affiliate or successor entity.
Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, war, labor disputes, or internet disruptions.
Relationship
These Terms do not create a partnership, joint venture, employment, or agency relationship between you and Muli.
